LYNTURA · LEGAL
Terms and Conditions
These Terms govern access to and use of Lyntura, the business CRM operated by Mayott Media LLC. Read them before signing in, enabling a paid feature, or connecting your business data.
1. The agreement
These Terms and Conditions (“Terms”) are between Mayott Media LLC (“Mayott Media,” “we,” “us”) and the person or organization using Lyntura (“you” or “Customer”). “Services” means the Lyntura website, hosted CRM, account-management tools, communications features, AI-assisted features, and associated services we provide. A written order, signed proposal, or checkout accepted by an authorized Customer representative is an “Order.”
By selecting Sign in or Sign in with Google when the accompanying notice links to these Terms, or by expressly accepting them during account creation or ordering, you agree to these Terms. If you act for a business, you represent that you are authorized to do so. An employee or helper who is not authorized to order paid services must not order them. If you do not agree, do not sign in or use the Services; contact us to discuss existing account access or data-return obligations.
An expressly agreed Order controls conflicting commercial terms for that Customer. A separately executed data-processing or security agreement controls its subject matter. The Privacy Policy describes our processing of personal information; it is not consent to unrelated marketing. These Terms do not cancel an existing signed agreement or impose a new payment obligation merely because someone signs in.
2. Eligibility, accounts, and company access
The Services are for business use by adults who can enter a binding agreement. Provide accurate account and business information, use an individual account, protect credentials, and promptly report suspected unauthorized access. You are responsible for activity you authorize and for the actions of your authorized users, but not for losses to the extent caused by our breach of these Terms or applicable law.
A workspace administrator may manage its users, permissions, records, and enabled features. Helpers act within their assigned business workspace. A license for one business does not authorize resale, sharing with an unrelated business, or access to another company's records. Additional business workspaces or paid seats require an applicable Order. Authentication through Google does not purchase a license, change your company, or bypass account restrictions.
Authorized Mayott Media personnel may access workspace information for administration, support, security, troubleshooting, or legal obligations, including through controlled account-preview tools. Customer administrators must inform their users about appropriate workplace access and monitoring. We do not authorize customers to inspect other businesses' information.
3. Your license and our technology
Subject to these Terms and any applicable Order, we grant you a limited, non-exclusive, non-transferable right to access the subscribed Services for your internal business purposes during the service term. We retain ownership of Lyntura's software, design, documentation, trademarks, and underlying technology. You may not copy or resell the Services, remove proprietary notices, or reverse engineer them except to the extent a restriction is prohibited by law. Rights to third-party and open-source components remain governed by their applicable licenses.
4. Orders, subscriptions, and payment authorization
Prices, included users, any development or setup fee, minimum commitment, billing currency, recurring interval, renewal terms, usage rates, taxes, and cancellation method must be disclosed in your Order or checkout before you authorize payment. A trial, demonstration, or account invitation does not itself authorize charges. Features described in marketing may require additional configuration, provider approval, payment authorization, or a separate Order.
If you choose an automatically renewing subscription, it renews for the disclosed interval until canceled under your Order. Your authorization to store a payment method and collect recurring or usage charges is obtained through the billing flow or an expressly agreed Order; the sign-in notice alone is not that authorization. Our payment processor may securely maintain your payment method. We do not request your full payment-card number or security code through chat, email, or CRM notes.
Where your Order uses calendar-month billing, usage closes at month end and is invoiced or collected on the stated date. A displayed estimate is not a settled invoice. Provider events can arrive late, be corrected, or be reconciled after month end. We will identify adjustments on an invoice or billing record rather than knowingly charge twice for the same usage. Any grace period, suspension date, or minimum-term obligation is the one disclosed in your Order; no undisclosed late fee or accelerated payment is created by these Terms.
5. Metered services and number charges
Usage charges are based on the unit and rate you accepted. An SMS may contain several billable segments depending on length and character encoding. MMS may be billed by part. Calls may be billed using the duration, rounding, direction, and minimums disclosed for your plan. Emails may be chargeable when accepted for sending rather than when delivered or opened, if that is the disclosed billing rule. Carrier filtering, rejection, an unanswered call, or an opt-out does not necessarily reverse a provider-incurred charge; any customer charge must still follow your accepted pricing.
Numbers, messaging registrations, and campaigns can incur recurring charges even during low or zero usage until their release or cancellation becomes effective. Review the confirmed price before purchasing. Search results do not reserve a number, guarantee availability, or establish messaging approval. A displayed unregistered-message rate is not permission to bypass registration or carrier rules. Provider price changes do not automatically change your agreed customer rate: changes require the notice and effective date applicable to your Order and law.
6. Cancellation, disputes, and refunds
An authorized billing administrator may request cancellation through an available billing control or by emailing andrew@mayottmedia.com from the account's business email. Include the business/workspace name, not payment-card details. The effective date follows the accepted service term; absent a different agreed term, cancellation stops renewal after the current paid period. Canceling renewal does not silently release phone numbers or cancel separately identified third-party commitments; request those actions explicitly and retain confirmation.
A disclosed minimum commitment remains governed by its Order. We will not add an early-termination penalty that you did not accept. Refunds and credits follow the Order and applicable law. Unless those provide otherwise, properly incurred usage and completed service are not refundable merely because unused capacity remains. Contact us promptly about a disputed charge so we can investigate and correct errors. Nothing here waives a non-waivable right to dispute an unauthorized charge, obtain a required refund, or exercise a statutory cancellation right.
7. Email, text messages, and automated outreach
You decide whom to contact, why, when, and with what content. You must have the rights, notices, permissions, and consent required for each recipient, channel, purpose, and jurisdiction, and retain evidence where required. An uploaded lead, publicly available address, purchased list, existing customer relationship, or verified sender domain is not by itself proof that marketing contact is permitted.
Comply with applicable communications and privacy laws, do-not-call requirements, quiet hours, sender-identification rules, and carrier/provider policies. This includes the TCPA and applicable state rules, CAN-SPAM for commercial email, and other laws that apply to your recipients. Identify your business honestly, provide required contact and mailing information, and provide functioning opt-out methods. Honor revocation and suppression requests promptly and within the applicable legal or provider deadline. Do not reimport, reroute, switch numbers, or use another channel to evade an opt-out.
Provider rules can be stricter than law. Telnyx requires appropriate recipient opt-in and prohibits specified content and practices, including unsolicited real-estate solicitations. AWS prohibits unsolicited mass email. You must review the applicable Telnyx Acceptable Use Policy, Telnyx messaging policy, and AWS Acceptable Use Policy before using those channels. We may require supporting consent records and pause sending while a complaint or compliance concern is investigated.
Compliance tools, suppression lists, AI suggestions, registration assistance, and availability indicators are aids, not legal approval or a guarantee of delivery. We remain responsible for our own legal obligations; these Terms do not transfer duties that the law places on us.
8. Calling, recordings, and number use
Before recording, transcribing, monitoring, or analyzing a call, obtain every notice and consent required where the participants are located. A recording toggle does not obtain consent. If required consent cannot be established, do not record. Provide required notices about automated or artificial voices and do not impersonate people. You are responsible for authorizing recording use and access. Available permissions, administrator access, provider storage, and retention limitations also apply.
The dialer is not a replacement for emergency telephone service. Do not rely on it for emergency calls. Numbers are assigned under provider and regulatory conditions; a monthly number charge does not convey permanent ownership. Porting, release, registration, and service restoration depend on provider requirements. We cannot guarantee a particular number, a port date, uninterrupted calling, or recovery after a number has been released.
9. Customer data and confidentiality
As between you and Mayott Media, you retain your rights in the leads, contacts, messages, documents, media, recordings, and other material you or your users submit (“Customer Data”). You grant us only the rights reasonably needed to host, process, display, transmit, secure, support, and otherwise provide the Services and comply with law. This does not give us ownership of your lead lists or permission to sell them.
You must have authority to provide Customer Data and lawful instructions for its use, keep it reasonably accurate, and avoid unnecessary sensitive information. Each party will protect the other's nonpublic information with reasonable care, use it only for the relationship or lawful purposes, and disclose it only to authorized people or service providers with a need to know, or as law requires. This duty does not cover information independently developed, lawfully received without restriction, or publicly available without a breach.
For personal information processed on a business customer's instructions, the customer generally determines the purpose and lawful basis and is responsible for its own notices and individual-rights obligations. We will provide reasonable assistance within the Services and any applicable data-processing agreement. Contact us before processing data that requires special contractual terms, international-transfer safeguards, or sector-specific security commitments. These Terms alone are not a HIPAA business associate agreement or a certification of compliance with GLBA, the FTC Safeguards Rule, or another regulated-data framework.
Do not upload government identification numbers, full payment-card information, financial-access credentials, detailed health records, or similarly high-risk regulated information unless we have expressly agreed in writing to support that use with the required safeguards. Ordinary CRM access does not authorize automated decisions about housing, employment, credit, insurance eligibility, or other legally significant outcomes.
10. Data access and retention
Use available export functions and maintain independent copies of information your business must retain. Account removal, user deactivation, subscription cancellation, and deletion of Customer Data are different actions. Disabling a user may preserve the workspace's leads and history. Request data return or deletion through your workspace administrator or our contact address; we may verify authority before releasing or deleting information.
Retention and deletion are subject to applicable law, the relevant agreement, legitimate security and dispute needs, and backup limitations described in the Privacy Policy. We do not promise that every copy is instantly erased when a screen item or account is removed. We will not use a payment dispute to refuse access or deletion where law requires it.
11. AI-assisted features and automation
AI can generate inaccurate, incomplete, biased, or non-unique text, images, classifications, and workflow proposals. Review and test outputs, recipient selection, timing, consent, billing consequences, and workflow logic before publishing or relying on them. An enabled or published automation can perform the actions you configure; draft review is not a promise that all future runs will request separate approval.
Submit only material you are authorized to process. Do not use AI to create unlawful, deceptive, discriminatory, infringing, or impersonating content. AI output is not legal, medical, financial, underwriting, or other professional advice. We do not guarantee that an output is accurate, original, copyrightable, or free of third-party rights. Any rights you receive are subject to the law and applicable provider terms. Processing may use configured private infrastructure and, where a feature or integration uses an external provider, that provider as described in our Privacy Policy.
12. Third-party services
Communications, payments, email delivery, identity, hosting, and optional integrations depend on third parties. You authorize the feature-specific data transfers needed for integrations you or an authorized administrator enable. Third parties' availability, approval requirements, limits, and terms apply to their services. We are responsible for our own commitments and do not guarantee third-party acceptance, deliverability, platform access, or pricing. Connect only accounts you have authority to use, review requested permissions, and disconnect integrations no longer needed.
12a. Connected email and calendars
Connecting Gmail or Microsoft Outlook is optional. You must have authority to connect the account, follow your organization's policies, and separately consent to the feature-specific permissions on the provider's website. Accepting these Terms does not itself grant mailbox access. The connected-email and calendar privacy disclosure explains the information used, shared activity, private reading, authorization storage and disconnection.
Read-only access does not authorize sending email or changing calendar entries. Where Outlook sending or calendar features are offered, review the connection notice and grant fresh permission for those features. Review the destination, content and any proposed appointment changes before confirming an action. Email accepted by Microsoft may still be delayed or rejected. If the outcome is uncertain, check the provider's records before trying again.
Connecting a mailbox does not authorize bulk campaigns, grant marketing consent, link unrelated customer accounts, or override a provider's limits or an organization's administrator controls. Provider availability, approval policies and your ongoing permissions apply. Disconnect integrations you no longer need; disconnecting does not remove messages already delivered or automatically delete legitimate business records.
12b. Optional calendar synchronization
Where available, calendar synchronization requires your separate provider authorization and calendar selection. You may link eligible appointments individually or choose a default destination for new CRM bookings assigned to you. Confirm that you are authorized to connect that account and share appointment information with the people who already have access to the selected calendar.
Linked appointment times and cancellations may update in either direction. Review important changes and any conflict or connection notices. Calendar checks are periodic and depend on provider availability, valid permissions and your account's access. Recurring events, all-day events and events with guests may require review. The current automatic sync does not send invitations.
You may pause or disconnect the integration in Calendar connections. This stops future syncing but does not undo past changes or delete events already saved by your provider. The connected-calendar privacy disclosure describes permissions, stored data, visibility and removal controls.
13. Prohibited use and security
Do not use the Services for unlawful activity, spam, fraud, phishing, harassment, discrimination, exploitation, malware, intellectual-property infringement, unauthorized surveillance, or collection of data without authority. Do not bypass authentication, tenant isolation, billing controls, consent controls, sending restrictions, or rate limits; access another customer's data; share administrative credentials; disrupt systems; or test security without written authorization. Report a suspected vulnerability privately to our contact address and do not access or disclose other people's information to demonstrate it.
We may investigate credible abuse reports and take proportionate protective action. If reasonably practicable, we will explain a restriction and offer a way to correct it. Immediate action may be necessary to protect people, data, service integrity, provider relationships, or legal compliance.
14. Availability, changes, and support
We will use reasonable care in providing the Services. Maintenance, internet or power failures, provider incidents, software defects, and security events may interrupt features. No uptime percentage, response time, deliverability rate, unlimited throughput, loss-free storage, or service credit is promised unless an Order expressly states it. An estimate, demonstration, roadmap, or status indicator is not a service-level guarantee.
We may improve or change the Services. For a material reduction in a paid core feature, we will give reasonable advance notice where practicable and address available remedies under the Order and law. We may make urgent security or legally required changes without advance notice.
15. Suspension and termination
Either party may terminate for a material breach that remains uncured after reasonable written notice and opportunity to cure, except where immediate action is justified under Section 13, applicable law, or the Order. We may restrict paid features for overdue amounts after the notice and grace period disclosed to you, subject to applicable law. Contact us promptly about a disputed balance; submitting a dispute does not automatically pause billing controls, and we will review any required correction or restriction on collection. Suspension is not a new authorization to charge and does not automatically erase data.
On termination, your right to use the terminated Services ends, and properly accrued charges remain payable. Data-return and deletion requests are handled under Section 10. Provisions intended by their nature to survive, including ownership, confidentiality, accrued payment obligations, liability limitations, and dispute provisions, survive to the extent lawful.
16. Warranties and risk allocation
Except for an express commitment in these Terms, an Order, or mandatory law, the Services and AI outputs are provided “as is” and “as available.” To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. This does not excuse our express obligations or exclude a warranty or remedy that cannot lawfully be excluded.
17. Limits of liability
To the extent permitted by law, neither party is liable to the other for indirect, special, incidental, consequential, or punitive damages, or lost profits, revenue, or business opportunities, arising from these Terms. Each party's aggregate liability arising from the Services is limited to the greater of US$100 or the fees paid or payable by Customer for the affected Services during the twelve months preceding the event giving rise to the claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, liabilities that cannot be limited by law, or Customer's obligation to pay valid agreed charges. They do not restrict an individual's statutory privacy rights. A separately negotiated agreement may provide different limits. The parties intend these provisions to allocate business risk, not to deprive anyone of a non-waivable legal remedy.
18. Third-party claims
To the extent permitted by law, Customer will defend Mayott Media against third-party claims caused by Customer Data that infringes another's rights or by Customer's unlawful communications or material violation of Section 13, and pay finally awarded damages or reasonable settlements Customer approves. This does not cover a claim to the extent caused by our breach, negligence, misconduct, or unauthorized modification or use.
We must promptly notify Customer of such a claim, provide reasonable cooperation at Customer's expense, and allow Customer reasonable control of the defense. No settlement may admit fault for, impose nonmonetary duties on, or fail to release an indemnified party without that party's consent, not unreasonably withheld. Neither party may settle on the other's behalf without authority.
19. Disputes, updates, and other terms
Mayott Media LLC is based in Texas, United States. Unless an applicable Order validly provides otherwise, Texas law governs these Terms without applying conflict-of-laws principles that would select another jurisdiction's law. This choice does not remove any mandatory protection or remedy that applies under another jurisdiction's law. Contact us first to seek an informal resolution. Either party may pursue a claim in a court with lawful jurisdiction; this does not delay an urgent remedy or a statutory deadline. These Terms do not impose an exclusive county, mandatory arbitration, or a waiver of jury-trial, class-action, or other procedural rights.
We may update these Terms prospectively. We will identify the revised effective date and provide notice of material changes through the Services or account email before they take effect where practicable. We will obtain affirmative acceptance where required. Changes do not retroactively alter accrued disputes or override a fixed-term Order without the required agreement. If you do not accept a material change, contact us about ending future use and any applicable contractual remedies.
If a provision is unenforceable, the remaining provisions remain effective, and any modification must be limited to what law permits. Failure to enforce a provision is not a waiver. Neither party is responsible for delay caused by events beyond reasonable control, except that this does not excuse amounts already due or duties that cannot be excused by law. You may not assign your agreement without our reasonable written consent; we may assign it in connection with a genuine business reorganization or transfer if your material rights and protections are preserved and required notice is given. No assignment eliminates accrued liability.
These Terms and the applicable Orders and separately executed agreements form the agreement on their subject matter. Notices may be sent to the contact information maintained in your account or the contact below. Electronic communications may be used for service administration; any legally required consumer consent to electronic records must be obtained separately when applicable. Section headings are for convenience.
